Sisero Customer Terms of Service

Welcome to Sisero, provided by Edgur LLC (“Edgur,” “we,” “us,” or “our”). These Terms govern your institution’s use of Sisero and related services offered via withsisero.com (the “Site”), our mobile apps (the “Apps”), and any customer-specific portals (“Customer Sites”). Please read carefully.

This means that…
If your school uses Sisero, these Terms set the rules for your relationship with Edgur.

1) Scope and Acceptance

  • These Terms (including our Acceptable Use Policy (AUP)) apply to educational institutions that purchase or access Sisero (“Customers”).

  • Individuals your institution authorizes to access Sisero are “Authorized Users” (e.g., staff, faculty, consultants, applicants, current or former students).

Agreement

  • By creating a Customer Account or using Sisero, you confirm you have authority to bind your institution and agree to these Terms.

Changes

  • We may update these Terms. We’ll notify you by posting on the Site or via email. Continued use means you accept the new Terms.

Your institution agrees to these Terms when signing up. We may revise them; keep an eye on notices.

2) Accounts and Admins

  • Your institution will create a Customer Account through our onboarding process.

  • Each Authorized User needs a unique login (username + password). Login sharing isn’t allowed.

  • You’ll assign Account Admin(s) and Billing Contact(s). Admins can manage settings, permissions, and data; Billing Contacts receive invoice notices.

  • You will not grant access to competitors or their representatives.

  • We may maintain internal Edgur support logins for troubleshooting and support.

This means that…
One person per login. You control who at your school gets access and what they can do.

3) Services We Provide

“Services” include:

  • The Site, Apps, and your institution’s Sisero instance on Customer Sites.

  • The Sisero platform (as updated), APIs, implementation, data migration, training resources, and support.

Legacy/Initial Data Import

  • Upon request and subject to our guidelines, we may import admissions, academic, financial, library, or other content you provide in agreed formats.

Managing Your Content & Permissions

  • You manage your Customer Account, Customer Content, and all role-based permissions (e.g., who can see grades, run reports, etc.).

  • Customer Content” includes all content/data you or your Authorized Users upload or make available in Sisero (including data we import for you).

Support

  • Staff/employee support: email/phone + online resources during business hours (details provided during onboarding).

  • Student support: primarily via email + online resources. We may redirect student questions to your staff when appropriate.

  • Exclusions: custom development, special projects, bespoke reports, research tasks, or work outside Sisero’s normal functionality.

Backups

  • Admins can download backups from the “Backups” area (if enabled for your plan).

Feedback

  • Suggestions/feedback may be used by Edgur to improve Sisero with no obligation to compensate you.

We provide the platform, onboarding help, and standard support. You run your site, data, and permissions.

4) Your Responsibilities

  • You’re responsible for all activity under your Customer Account and by your Authorized Users.

  • You’ll promptly report suspected violations, credential compromise, or security issues.

  • We may suspend access for violations of these Terms or the AUP.

  • If you’re in breach (including non-payment) or terminate service, Authorized Users lose access.

Your school is accountable for how Sisero is used. Tell us if there’s a problem.

5) Privacy & Data Use

  • See our Privacy Policy at withsisero.com for how we collect and use information.

  • We process Authorized User Data (including education records) solely to deliver the Services to you, in line with applicable laws (e.g., FERPA, GLBA) and our GDPR practices where applicable.

  • You’ll publish your own privacy notice on your Customer Site describing your data practices and acknowledging Edgur’s role as your service provider.

We use student/staff data only to run Sisero. You must also disclose your institution’s data practices.

6) Pricing & Payment

  • Pricing may include:

    • Monthly Base Fee

    • Per-Billable Student fee (e.g., enrolled ≥1 course for ≥7 days in the month; include auditors/test accounts as defined by your plan)

    • File storage allotment + overage fees

    • Text messaging allotment + overage fees

    • Optional additional SMS numbers

  • Invoices & Taxes: Invoiced in USD; due upon receipt; amounts are net of taxes/fees. You’re responsible for all applicable taxes.

  • Late Fees: Past-due balances may accrue interest (e.g., up to 3%/month or the maximum lawful rate).

  • Disputes/Refunds: Dispute invoices before the next invoice date. No refunds or credits for partial months. We may change prices with 90 days’ notice.

Fees = base + per-student + possible overages. Pay invoices on time; no partial-month refunds.

7) Cancellation & Termination

  • By You: Email support@withsisero.com with a clear Cancellation Date.

  • By Us: We may modify, suspend, or discontinue Services, or suspend access (e.g., for non-payment or misuse).

  • Effect: Access for you and Authorized Users ends immediately upon termination/cancellation date; the month in which cancellation occurs is billed in full.

  • Your Data: Remove/download Customer Content before cancellation; archives/backups may persist as required by law.

8) Disclaimers

  • Services and content are provided “AS IS.”

  • We disclaim implied warranties (merchantability, fitness, non-infringement, quiet enjoyment).

  • No guarantee of uninterrupted, error-free, or fully secure operation.

  • Transmission may traverse third-party networks and systems outside our control.

Text Messaging

  • Sisero’s messaging is not a replacement for 911/E911. Delivery typically limited to U.S./Canada mobile carriers.

This means that…
Technology has limits. Don’t rely on Sisero for emergency calling.

9) Indemnification

You will defend, indemnify, and hold harmless Edgur LLC, its affiliates, licensors, and their officers, directors, employees, and agents from claims/losses arising out of:

  • Your or your Authorized Users’ use of the Services;

  • Your Customer Content;

  • Violations of these Terms/AUP or law;

  • Disputes between you and your Authorized Users.
    We’ll promptly notify you of claims and may participate in the defense at our expense.

If your use causes legal trouble, your school covers it.

10) Liability Limits

  • To the maximum extent permitted by law: No liability for indirect, incidental, special, consequential, or exemplary damages (e.g., lost profits, data loss, service interruption).

  • Cap: Our aggregate liability under these Terms will not exceed $100.

Our total liability to you is capped at $100.

11) Government-Wide Suspension & Debarment (Certification)

Edgur certifies, to the best of its knowledge, that it and its principals are not debarred/suspended/ineligible; have no relevant convictions/civil judgments within the last three years; are not currently charged; and have no public transactions terminated for cause in the last three years.

We confirm we’re not barred from doing business with the government.

12) General Terms

  • Governing Law: State of Delaware (or specify your preferred state). Conflict-of-law rules do not apply.

  • Entire Agreement: These Terms + AUP + any Order/Form constitute the full agreement and supersede prior understandings. If there’s a conflict, these Terms control.

  • Severability: If a provision is unenforceable, the rest remains in effect.

  • Assignment: You need our consent to assign; Edgur may assign freely (e.g., corporate restructure).

  • Notices: We may notify via email or posting on withsisero.com.

  • No Waiver: A failure to enforce isn’t a waiver.

  • Remedies: Non-exclusive unless stated otherwise.
